Welcome to ClippingCash. These Terms of Service (“Terms”) govern your access to and use of ClippingCash’s website, applications, and services (collectively, the “Service”). Please read these Terms carefully before using our Service.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using ClippingCash, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

ClippingCash provides a software-as-a-service (SaaS) platform designed for lawn care businesses to manage their operations, including but not limited to:

• Customer relationship management
• Job scheduling and tracking
• Invoicing and payment processing
• Team management
• Business reporting and analytics

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

3.2 Account Requirements

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this requirement.

4. Subscription Plans and Payments

4.1 Subscription Tiers

ClippingCash offers various subscription tiers with different features and pricing. Details of current plans are available on our website.

4.2 Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated in these Terms
• We reserve the right to change pricing with 30 days’ notice
• Failed payments may result in service suspension

4.3 Free Trials

If you sign up for a free trial, you will have access to the Service for the trial period. At the end of the trial, your account will convert to a paid subscription unless you cancel before the trial ends.

4.4 Cancellation

You may cancel your subscription at any time. Upon cancellation:

• You will retain access until the end of your current billing period
• No refunds will be provided for partial periods
• Your data will be retained for 30 days before permanent deletion

5. Acceptable Use

5.1 You Agree Not To

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Use the Service for any illegal or fraudulent purpose
• Interfere with or disrupt the Service or servers
• Resell, sublicense, or provide access to the Service to third parties without authorization
• Use automated systems to access the Service without our written permission

5.2 Content Standards

Any content you upload, submit, or transmit through the Service must not:

• Be defamatory, obscene, or offensive
• Violate any third party’s privacy or intellectual property rights
• Contain false or misleading information
• Promote illegal activities

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by ClippingCash and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

6.2 Your Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display your content solely for providing the Service to you.

7. Data and Privacy

7.1 Data Processing

We process your data in accordance with our Privacy Policy. By using the Service, you consent to such processing.

7.2 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

7.3 Data Ownership

Your business data remains your property. Upon account termination, you may request export of your data within 30 days.

8. Third-Party Services

8.1 Payment Processing

Payment processing is handled by Stripe. Your use of payment services is subject to Stripe’s Terms of Service and Privacy Policy.

8.2 Mapping and Location Services

Address lookup, geocoding, and mapping features are powered by Mapbox. Your use of these features is subject to Mapbox’s Terms of Service.

8.3 Communication Services

Email delivery is provided by Resend, and SMS messaging is provided by Telnyx. Your use of SMS features is subject to Telnyx’s Terms of Service. Message and data rates may apply for SMS notifications.

8.4 Accounting Integrations

The Service may integrate with accounting platforms including:

• QuickBooks Online - Subject to Intuit’s Terms
• Xero - Subject to Xero’s Terms
• Zoho Books - Subject to Zoho’s Terms

When you enable these integrations, you authorize ClippingCash to share your business data with these services. You are responsible for reviewing and accepting the terms of any third-party services you choose to integrate.

8.5 Third-Party Liability

We are not responsible for the availability, accuracy, or content of third-party services. Issues with third-party services should be directed to those providers.

9. Disclaimers

9.1 “As Is” Basis

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We are not responsible for any business decisions you make based on information from the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPPINGCASH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless ClippingCash, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party’s rights

12. Modifications to Service and Terms

12.1 Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of significant changes.

12.2 Terms Changes

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use after such notice constitutes acceptance of the updated Terms.

13. Termination

13.1 By You

You may terminate your account at any time by contacting us or through your account settings.

13.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay applicable fees
• Engage in fraudulent or illegal activity
• Pose a security risk to the Service

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association’s rules, except that you may assert claims in small claims court if your claims qualify.

14.3 Class Action Waiver

You agree to resolve any disputes individually and waive your right to participate in a class action lawsuit or class-wide arbitration.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClippingCash regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
